Obligaciones anuales de las sociedades anónimas panameñas

Constituir una sociedad en Panamá es relativamente sencillo. Mantenerla en buen estado legal es igual de importante y requiere cumplir con ciertas obligaciones anuales que muchos propietarios desconocen hasta que es demasiado tarde.

Tasa Única Anual

Toda S.A. debe pagar una tasa única anual de USD $300 a la DGI. El vencimiento es el 15 de julio para sociedades constituidas en la primera mitad del año, y el 15 de enero del año siguiente para las de la segunda mitad. El incumplimiento genera multas y puede resultar en la suspensión de la sociedad.

Agente Residente

Toda S.A. debe mantener un agente residente — abogado o firma de abogados — en Panamá. El agente residente es responsable de mantener al día la documentación legal de la sociedad.

Registros Contables

Es obligatorio mantener registros contables y entregarlos al agente residente dentro de los cuatro meses siguientes al cierre del año fiscal. No es necesario presentarlos ante ninguna autoridad, pero deben estar disponibles ante requerimiento.

Registro de Beneficiarios Finales

Desde 2015, toda S.A. debe registrar a sus beneficiarios finales ante la Superintendencia de Sujetos No Financieros dentro de los 15 días siguientes a cualquier cambio en la estructura de propiedad. Esta información no es pública pero está disponible para las autoridades.

Annual obligations of Panamanian corporations

Incorporating a company in Panama is relatively straightforward. Keeping it in good legal standing is equally important and requires complying with certain annual obligations that many owners are unaware of until it's too late.

Flat Annual Tax

Every S.A. must pay an annual flat tax of USD $300 to the DGI. The deadline is July 15 for companies incorporated in the first half of the year, and January 15 of the following year for those incorporated in the second half. Non-compliance generates fines and can result in suspension of the company.

Resident Agent

Every S.A. must maintain a resident agent — a lawyer or law firm — in Panama, responsible for keeping the company's legal documentation up to date.

Accounting Records

Accounting records must be maintained and delivered to the resident agent within four months of the fiscal year end. They do not need to be filed with any authority, but must be available upon request.

Beneficial Ownership Registry

Since 2015, every S.A. must register its beneficial owners with the Superintendence of Non-Financial Subjects within 15 days of any change in ownership structure. This information is not public but is available to authorities.
